A common approach to Corporate Governance allows boards to exercise their judgement about how to apply corporate governance principles and provisions, by reference to a code, such as the UK Corporate Governance Code. The underlying principle is to “Comply or Explain”. In addition there are legal obligations applying to individual directors. Regulatory bodies, such as the Financial Reporting Council, issue Guidance to assist boards with their duties \u2013 including the duty to report on how companies address the “Stakeholder Agenda”.
